This Supplier Platform Licence Agreement ("Licence") is a legally binding contract between the applying merchant ("Supplier", "you") and ONE STEP CONSULTING LTD. ("Platform", "we", "us"), operator of Bigprimeshop.com, registered at Suite C, Level 7, World Trust Tower, 50 Stanley Street, Hong Kong, company number 74892005.

By submitting a shop application and ticking the acceptance boxes, you offer to enter this Licence. No shop is opened, and no licence is granted, until we accept your application in writing by email. Until then your request is under review only.

1. What this Licence grants

If we approve your application, we grant you a limited, non-exclusive, non-transferable, revocable licence to operate one storefront on Bigprimeshop.com for the sale of lawful goods that we have approved.

You do not acquire ownership of Bigprimeshop.com, our trademarks, software, customer lists, or platform data. You may not sublicense, sell, or assign this Licence without our prior written consent.

2. Supplier obligations

You warrant that:

• every fact in this application is true, complete, and current; • you are a duly formed legal person, or an authorised officer who may bind that person; • you are at least 18 years old; • you hold all licences, tax registrations, and product approvals required for the goods you list; • product descriptions, prices, images, and stock will be accurate; • you will not list prohibited, counterfeit, unsafe, or infringing goods; • every product remains a draft until the Platform administrator approves it for the live shop.

You remain responsible for your catalogue, fulfilment promises you make, and claims arising from your goods.

3. Platform role and approval

Bigprimeshop.com is a hosted storefront. We may accept, refuse, or later suspend a shop or a product without giving a shop live access until administrator approval.

Submission of this form is not acceptance. We will notify you of the result by email to the address you provide.

We may require further documents (company extract, ID of the signatory, tax certificate, product certificates) before or after approval.

4. Fees, payouts, and taxes

Commission, payout schedule, and invoicing between Supplier and Platform will be confirmed in writing if your shop is approved. Nothing in this application creates a right to payment.

You are solely responsible for your own taxes, customs, and statutory filings. Bank details you provide must belong to the legal person named in this contract.

5. Intellectual property and content licence

You grant ONE STEP CONSULTING LTD. a worldwide, royalty-free licence to host, display, and promote the content you upload (names, photos, video, descriptions) for operating and marketing the storefront.

You warrant that you own or are licensed to use that content. You will indemnify us against claims that your content or goods infringe third-party rights.

6. Data protection

Customer personal data processed through the shop must be handled under our Privacy Policy and applicable law (including the Hong Kong PDPO). You may use customer data only to fulfil orders and lawful after-sales service. You may not sell or export customer lists.

7. Term, suspension, termination

We may suspend or terminate the Licence immediately if you breach this agreement, fail a compliance check, or create risk for buyers or the Platform. On termination you must stop using Bigprimeshop.com as a merchant. Clauses on liability, indemnity, and governing law survive.

8. Liability

The Platform is provided as available. To the maximum extent permitted by Hong Kong law, our aggregate liability to you arising from this Licence shall not exceed fees actually paid by you to us in the three months before the claim (or HKD 0 if none).

You indemnify ONE STEP CONSULTING LTD. against losses arising from your products, listings, misstatements in this application, or your breach of law.

9. Governing law

This Licence is governed by the laws of the Hong Kong Special Administrative Region. The courts of Hong Kong have non-exclusive jurisdiction.
